DEFINITIONS

A Joint Development Project (JDP) is a collaborative project between Recognised Organisation (RO) and a (group of) client(s) willing to develop a competitive advantage with an innovative design, a new technology or a new design approach.

Recognised Organisation (RO) scope may include:

  • regulatory watch,

  • design assessment, rules modification consequence assessment & qualification of new technologies,

  • development of rules, guideline, tools and/or expert knowledge.

The design assessment may lead to the delivery of AiP or a BDA. However, Recognised Organisation (RO) scope in a JdP is not to be limited to AiP.

A JDP typically lasts between few months up to 2 years.

As a JDP is collaborative, the common practice is for each party to bear the expenses and costs related to their specific tasks.

However, some deliverables may be subject to invoice, on a case by case basis.

PROJET MANAGEMENT

CONTRACT MANAGEMENT

Non-Disclosure Agreement (NDA)

When possible, Recognised Organisation (RO) NDA should be proposed (refer to “LEG_0001 – Legal Library” within Legal procedures). The Recognised Organisation (RO) NDA does not prevent the Recognised Organisation (RO) staff to access the information. On the contrary, a customer NDA may prevent or restrict this access. Customer NDA can however be reviewed and accepted by Recognised Organisation (RO) M&O legal department on a case-by-case basis.

Establishment of JDP Agreement

The JDP Agreement is to set the terms defining the collaboration between the partners. The JDP agreement should consider the following:

  • the identification of partners,

  • the project description (background, motivation, objectives, battery limits if any…),

  • the level of confidentiality, management of intellectual property rights and applicable law,

  • the project schedule and main milestones,

  • the project management organization,

  • the responsibilities, the scope of work and the list of deliverables by each partner,

  • the allocation of costs, expenses and resources as appropriate,

  • the foreseen communication within the project,

  • Recognised Organisation (RO) M&O General Conditions.

A preference provision for proposing Recognised Organisation (RO) as a preferred classification society for future projects related to the JDP is to be included in the JDP agreement, as appropriate.

The template for the JDP agreement given in Appendix A1 is to be recommended, a template from customer may be accepted on a case by case provided it include all the items listed above.

The JDP agreement is to be established in close coordination with DCM&O respective market leaders and DT Directors as appropriate. JDP opportunity is to be registered in Salesforce as soon as the Agreement is being discussed, even if the project is free of charge. JDP opportunity name in Salesforce shall include “JDP” in the title.

JDP Agreement review

The agreement shall be reviewed by all teams involved in the JDP. Coordination between network and HO teams for review of the agreement is ensured by DCM&O market leaders.

JDP Agreement Management

When a new JDP agreement is signed, the following are to be applied:

  • to inform the Director for Innovative & Collaborative Industry projects for follow-up,

  • a new “drawing project” is to be created within VPM, with “JDP” in the project name,

  • the AiP flag within VPM is to be activated (even if no AiP issuance is planned as part of JDP scope),

  • the AiP type and sub-type are to be selected. While only one AiP type can be selected, it is possible, and recommended, to select as many sub-types, as applicable (see tabs 4 & 5 in annex 1),

  • the opportunity number from Salesforce is to be informed within the contract organization field (see Annex 1, Fig 2) (it can be extracted from Salesforce by DCM&O or Director for Innovative & Collaborative Industry projects if needed),

  • the NDA, and the JDP agreement are to be attached in the project data (see Annex 1, Fig 2),

  • to declare the project “sensitive” within VPM if the project is identified as sensitive (see 2.3).

The activation of the flag “sensitive” within VPM can be performed by:

  • Director for Local Plan Office Coordination,

  • Director for Innovative & Collaborative Industry projects,

  • Director of Design Assessment Department.
